Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you ("you", "your", or "User") and uni8 ("uni8", "we", "us", or "our"), governing your access to and use of the uni8 mobile application and related services (collectively, the "Services").

By creating an account, downloading, installing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. About the Services

uni8 is a mobile application designed for sports academies in Kuwait and the Gulf Cooperation Council (GCC) region. It enables:

• Academy Managers to create academies, teams, players, and training/evaluation sessions; track attendance; and record skill development.
• Parents/Players to view a player's progress, skill points, attendance, and session notes in read-only mode.

The Services are provided "as is" and may be updated, modified, or discontinued at our discretion.

2. Eligibility

• You must be at least 18 years old to create an Academy Manager account.
• You must be at least 13 years old to create a Parent/Player account. Users between 13 and 18 must have parental or legal-guardian consent.
• Children under 13 may not create accounts. A parent or legal guardian may create a Parent/Player account on behalf of a child under 13 and supervise its use.
• By creating an account, you represent that you meet these requirements and that all information you provide is accurate and truthful.

If you are using the Services on behalf of an organization (e.g., a sports academy), you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

• You must provide accurate and complete information when creating your account.
• You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
• You must notify us promptly at ahmadalshammari2002@gmail.com if you suspect unauthorized access to your account.
• You may not share your account, transfer your account, or create an account using someone else's identity.

We reserve the right to suspend or terminate any account that violates these Terms or that we reasonably believe poses a risk to the Services or other users.

4. User Roles and Responsibilities

4.1 Academy Managers

Academy Managers may:

• Create and manage their academy, teams, players, skill sets, and sessions.
• Invite parents/players to view individual player records.
• Update subscription tier (subject to Section 6).

Academy Managers represent and warrant that:

• They have the lawful authority to create player records and process the personal data of the players they enter into the App, including data about minors.
• They have obtained verifiable consent from a parent or legal guardian before entering any personal data of a minor (including name, date of birth, photo, and performance data).
• All player and academy data they enter is accurate to the best of their knowledge.
• They will not use the Services to collect, store, or share data that is unlawful, defamatory, or that infringes the rights of others.

4.2 Parents/Players

Parents/Players may:

• View the progress, attendance, skills, and session notes of the player they are linked to.
• Update their own profile information.

Parents/Players may not modify player records, attendance, or skill data; this is reserved to Academy Managers.

5. Acceptable Use

You agree NOT to:

1. Use the Services for any illegal, harmful, or fraudulent purpose.
2. Upload or transmit any content that is unlawful, defamatory, obscene, harassing, threatening, hateful, or that violates the rights of any person or entity.
3. Upload personal data of any individual without proper authority and consent.
4. Impersonate any person or misrepresent your affiliation with any person or entity.
5. Attempt to gain unauthorized access to the Services, other accounts, or our infrastructure.
6. Interfere with, disrupt, overload, or attempt to reverse-engineer the Services.
7. Use any automated means (bots, scrapers, crawlers) to access the Services without our prior written consent.
8. Circumvent or attempt to circumvent subscription-tier limits, paywalls, or access controls.
9. Resell, sublicense, or commercially exploit the Services without our prior written consent.
10. Use the Services to harass, abuse, or harm minors in any way.

We may, in our sole discretion, remove content or suspend accounts that violate these rules.

6. Subscriptions and Payment

uni8 offers the following subscription tiers, each with its own limits on the number of teams and players an academy may have:

6.1 Billing

Subscription payments are handled manually outside the App. To upgrade, downgrade, or renew your tier, contact us directly. Your subscription tier is updated by an administrator and reflected in the App once payment is confirmed. The App does not charge any fees through Apple In-App Purchase or Google Play Billing at this time.

6.2 Tier Enforcement

If you exceed the limits of your tier (e.g., by attempting to add a team or player beyond your allowed quota), the App will prevent the action and prompt you to upgrade.

If your subscription tier is downgraded such that your existing data exceeds the new tier's limits, your existing teams and players remain accessible in read-only mode, but you will be unable to add new teams or players until you reduce your usage to within the new limit or upgrade again.

6.3 Refunds

Because payments are processed manually outside the App, refund requests are handled on a case-by-case basis. Contact us at ahmadalshammari2002@gmail.com to request a refund.

6.4 Free Tier

The Free tier is offered as-is, without warranty of availability, and may be modified or discontinued at any time.

7. User Content

"User Content" means any content you submit to the Services, including academy and team names, player names and photos, session notes, evaluation scores, and profile information.

7.1 Ownership

You retain all ownership rights in your User Content. We do not claim ownership of your User Content.

7.2 License to Us

By submitting User Content, you grant uni8 a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit your User Content solely for the purpose of operating, providing, and improving the Services. This license terminates when you delete the User Content or your account, except for residual copies in backups as described in our Privacy Policy.

7.3 Responsibility

You are solely responsible for your User Content. uni8 does not pre-screen User Content and is not liable for any User Content submitted by you or other users.

7.4 Removal

We reserve the right (but have no obligation) to remove any User Content that we reasonably believe violates these Terms or applicable law.

8. Intellectual Property

The Services — including their software, design, trademarks, logos, and content (other than User Content) — are owned by uni8 or its licensors and are protected by copyright, trademark, and other intellectual-property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal academy use, subject to these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the data practices described in our Privacy Policy.

10. Third-Party Services

The Services rely on third-party providers, including Supabase (database, authentication, storage), Expo (push notifications, app delivery), Apple (App Store, push notifications), and Google (Google Play, push notifications). Your use of those services is also subject to their respective terms.

uni8 is not responsible for the availability, accuracy, content, or practices of any third-party service.

11. Termination

11.1 Termination by You

You may terminate your account at any time from within the App (Settings → Account → Delete Account) or by contacting ahmadalshammari2002@gmail.com.

11.2 Termination by Us

We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have:

• Violated these Terms;
• Created a risk or possible legal exposure for us;
• Used the Services in a way that could harm other users;
• Failed to pay for a paid subscription; or
• Been inactive for an extended period.

11.3 Effect of Termination

Upon termination:

• Your right to use the Services ends immediately.
• We will delete or anonymize your personal data as described in our Privacy Policy.
• Sections that by their nature should survive termination (including Sections 7, 8, 12, 13, 14, 15, 16) will survive.

14. Indemnification

You agree to defend, indemnify, and hold harmless uni8 and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services;
• Your violation of these Terms;
• Your violation of any rights of a third party (including privacy or intellectual-property rights);
• Any User Content you submit; or
• Your failure to obtain consent from a parent or legal guardian before entering personal data of a minor.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Kuwait, without regard to its conflict-of-laws principles.

Any dispute arising out of or in connection with these Terms or the Services will be resolved as follows:

1. Informal Resolution: the parties will first attempt in good faith to resolve the dispute informally by contacting ahmadalshammari2002@gmail.com.
2. Courts: if the dispute cannot be resolved informally within 60 days, it will be submitted to the exclusive jurisdiction of the competent courts of Kuwait City, Kuwait, unless prohibited by applicable law in your jurisdiction.

If you reside in a jurisdiction where consumer-protection laws grant you the right to bring claims in your local courts, nothing in these Terms limits that right.

16. Apple App Store Additional Terms

If you downloaded the App from the Apple App Store, the following additional terms apply, and they prevail over any conflicting provisions in these Terms:

1. These Terms are between you and uni8 only — not with Apple Inc. ("Apple"). uni8, not Apple, is solely responsible for the App and its content.
2. The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Apple Media Services Terms and Conditions.
3. Apple has no obligation to furnish any maintenance or support services for the App.
4. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App.
5. uni8, not Apple, is responsible for addressing any product or end-user claims relating to the App, including (i) product-liability claims, (ii) any claim that the App fails to conform to any legal or regulatory requirement, and (iii) claims arising under consumer-protection or similar legislation.
6. uni8, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual-property infringement claim relating to the App.
7. You represent and warrant that (i) you are not located in a country subject to a US Government embargo or designated by the US Government as a "terrorist supporting" country, and (ii) you are not on any US Government list of prohibited or restricted parties.
8. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17. Google Play Additional Terms

If you downloaded the App from Google Play, your use of the App is also subject to the Google Play Terms of Service. uni8, not Google, is solely responsible for the App and its content. Google has no obligation to provide support for the App.

18. Export Controls

You may not use or export the Services in violation of applicable export laws and regulations of Kuwait, the United States, or any other applicable jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you in the App and update the "Last Updated" date at the top of these Terms. Continued use of the Services after the update constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and may delete your account.

20. Miscellaneous

• Entire Agreement. These Terms (together with the Privacy Policy) constitute the entire agreement between you and uni8 regarding the Services.
• Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any right or provision will not be a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
• Force Majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
• Headings. Section headings are for convenience only and have no legal effect.
